Official Rules for the Grand Central Fall Friends Giveaway

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE

YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.

These Official Rules exempt Grand Central Bakery ("Sponsor") and others from liability or limit their

liability, specify the jurisdiction for the resolution of disputes, and contain other important provisions.

Participation constitutes your acceptance of and agreement to these Official Rules and to the

Sponsor’s decisions, which are final and binding in all matters related to the Promotion.

1. Eligibility.

The Fall Friends promotion (“Promotion”) is open only to legal U.S. residents who are aged 18 or

older at the time of entry. Employees of Grand Central Bakery, as well as their immediate family and

household members are not eligible.

Winning a prize is conditioned on your adherence to these Official Rules.

2. Entry Period.

The Promotion starts on or about 6:00am PST on September 26th, 2024, and ends at 11:59pm PST

on October, 3rd, 2024 (the “Entry Period”). Entries submitted before or after the Entry Period will

be disqualified.

3. How to Enter.

During the Entry Period,

● Follow @grandcentralbakery, @hopworksbeer, and @oldstovebeer on Instagram 

● Like our Instagram contest post and comment with the city you’re entering (you can enter both, but each city will have its own winner!)  

This counts as one entry into the promotion.

● Bonus entry: Tag a friend in the comments OR share this post in your Instagram stories!  Don’t forget to use the hashtag #fallfriendsgiveaway24

All entries become the property of Sponsor and will not be acknowledged or returned.

[By submitting an Entry, you represent and warrant that the Entry, and Sponsor’s use of the Entry,

does not and will not:

● infringe on the copyright, trade secret, trademark, patent, privacy, or publicity rights of others;

● contain any third-party logo, trademark or other third-party content;

● contain any material that could be considered unlawful, threatening, abusive, defamatory,

vulgar, obscene, or hateful, or content that refers negatively to people or groups on the basis

of their race, ethnicity, religion, sexual orientation, gender, or similar characteristics;

● be posted in a false name or the name of another person, or include impersonations of any

person;

● include illegal material or encourage, solicit, or glorify illegal activity;

● contain false statements or misrepresentations; or

● include commercial advertisements or solicitations]

4. Prizes.

There will be one Portland and one Seattle based winner. Each winner will receive:

Portland entry:

- A $75 gift card and gift basket from @grandcentralbakery

- A $75 gift card, hat, and shirt from @hopworksbeer

Seattle entry:

- A $75 gift card and gift basket from @grandcentralbakery

- A $75 gift card, hat, and shirt from @oldstovebeer

Prizes may be reported as income to the winner, and the winner is responsible for taxes, if any, associated with the receipt of a prize.

5. Winner Selection.

Within 24 hours after the Entry Period closes, the Sponsor will select 2 potential winners in a random

drawing of all entries received - one for the Portland prize, and one for the Seattle prize. The odds of winning depend on the number of eligible entries

received. The potential winner will be notified by Instagram Direct Messaging (in Sponsor’s

discretion) within one day of the drawing. If a potential winner declines to accept the prize, has

violated any of these Official Rules, or fails to respond within the required time period, then an

alternate entrant may be selected, at Sponsor’s discretion and if time permits, in a random drawing

of remaining eligible entries.

All potential winners are subject to verification by Sponsor, whose decisions are final and binding in

all matters related to the Promotion. You are not a winner of any prize unless and until eligibility and

compliance with these Official Rules have been verified and you have been notified that verification

is complete. [Sponsor will not accept screen shots or other evidence of winning in lieu of its

validation process.]

6. Winner Requirements.

Winners must be based in either Portland, OR. or Seattle, WA. and be at least 18 years of age.

7. Publicity Release.

Your participation the Promotion (whether or not you are declared the winner) constitutes permission

for the Sponsor to use your name, photograph, likeness, statements, biographical information, voice,

and city and state address (“Likeness”) for promotional or advertising purposes in connection with

this Promotion and Sponsor’s products and services, on a worldwide basis, and in all forms of

media, now or hereafter known, in perpetuity, including without limitation, on Sponsor’s website,

without review, permission or further compensation (except where prohibited by law). You consent to

Sponsor’s use of your Likeness and agree that: (a) no further consideration will be paid to you for

such use; (b) consent and release is given without coercion or duress; and (c) this permission is

binding upon your heirs and future legal representatives.

8. General Terms.

The Promotion is subject to federal, state, and local laws and regulations and is void where

prohibited by law. If the Promotion is impaired in any way for any reason, including, but not limited to

fraud, virus, or other technical problem, the Sponsor may either: (a) cancel or terminate the

Promotion; (b) suspend the Promotion while it investigates the impairment, then resume the

promotion if the impairment is resolved; or (c) award the prize at random from among the eligible

entries received up to the time of the impairment. The Sponsor may disqualify you if Sponsor

believes you have violated these Official Rules or acted in an unsportsmanlike, deceptive, or

disruptive manner. Failure by the Sponsor to enforce any term of these Official Rules does not

constitute a waiver of that provision. If the prize becomes unavailable or infeasible to award, or if the

Promotion is impaired or becomes impractical due to any event beyond the control of Sponsor,

Sponsor may modify, shorten, suspend, or cancel the Promotion without liability. Sponsor reserves

the right to exclude previous sweepstakes winners from entering this Promotion.

9. Disclaimer; Release.

Participation in the Promotion is voluntary. By participating in the Promotion, you hereby release and

hold harmless the Sponsor, any prize provider, their respective parent and related companies, and

their respective officers, directors, employees, and agents (the “Released Parties”) from and against

any claim or cause of action arising out of or related to participation in the Promotion or receipt or

use of any prize, including, but not limited to: (a) unauthorized human intervention in the Promotion;

(b) technical errors related to computers, servers, providers, or telephone or network lines; (c)

printing errors; (d) lost, late, misdirected, or undeliverable mail; (e) errors in the administration of the

Promotion or the processing of entries; or (f) injury or damage to persons or property, unless the

claim or cause of action results from the Sponsor’s gross negligence or intentional misconduct.

Sponsor disclaims all liability for any claims related to prizes and other aspects of the Promotion to

the extent provided or handled by third parties, including claims arising out of third parties’ gross

negligence or intentional misconduct. You further agree that, if you have a claim against Sponsor

that is not waived by this section, the Released Parties’ liability will be limited to value of the

highest-value prize offered in this Promotion. You waive the right to claim punitive, consequential, or

indirect damages. You acknowledge that the Released Parties have made no warranty,

representation or guarantee, expressed or implied, in fact or in law, relating to any prize. ALL

PRIZES ARE PROVIDED AS-IS.

10. Disputes.

Except where prohibited, you agree that all disputes, claims and causes of action arising out of or

relating to the Promotion or any prize awarded shall be resolved individually, without resort to any

form of class action, and exclusively by the appropriate court located in Multnomah County, Oregon.

All issues and questions concerning the construction, validity, interpretation and enforceability of

these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the

Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of

Oregon, without giving effect to any conflict of law rules.

11. Sponsor.

The Promotion is sponsored by Grand Central Bakery, 2249 N.W. York St, Portland, OR 97210 (the

“Sponsor”). [This promotion is in no way sponsored, endorsed or administered by, or associated

with, Facebook or Instagram.

12. Winner’s List.

To obtain the name of the winner(s), send a self-addressed, stamped envelope to 2249 N.W. York

St, Portland, OR 97210. Requests must be received within 30 days after the conclusion of the Entry

Period.
